These Terms & Conditions (“Terms”) govern your access to and use of www.callwingate.com, including any related webpages, online forms, appointment-request systems, electronic communications, and other online services operated by Wingate Mechanical Inc. (“Wingate,” “we,” “us,” or “our”).
By accessing or using this website, submitting an inquiry or service request, requesting an estimate, scheduling an appointment, or otherwise using this website, you acknowledge that you have read and agree to these Terms to the extent applicable.
These Terms supplement, but do not replace, any written proposal, estimate, service agreement, construction contract, work authorization, change order, warranty, financing agreement, or other agreement separately entered into between you and Wingate. If a separately executed written agreement conflicts with these Terms, the applicable written agreement will control with respect to the services or transaction covered by that agreement.
1. SERVICES
Wingate provides residential and commercial home-service and improvement services, which may include heating, cooling, HVAC installation and repair, plumbing, water heaters, roofing, siding, gutters, exterior improvements, inspections, maintenance, emergency services, and related services.
Services, products, materials, geographic availability, pricing, promotions, and scheduling may vary.
Wingate reserves the right to modify or discontinue services, subject to existing contractual obligations and applicable law.
2. WEBSITE INFORMATION
Information displayed on this website is provided for general informational purposes.
Photographs, videos, descriptions, testimonials, reviews, examples, pricing, financing examples, savings claims, product information, and other content may not apply to every customer or property.
Actual products, materials, equipment, pricing, scope of work, warranties, financing terms, and scheduling are determined by the applicable written agreement.
Website content does not constitute a binding offer unless expressly stated otherwise.
3. ESTIMATES AND PROPOSALS
Estimates and proposals are based upon information reasonably available to Wingate when prepared.
Actual costs may change when concealed conditions are discovered, the customer changes the scope of work, additional work is requested, materials or equipment become unavailable, permit or code requirements require additional work, existing work is defective or improperly installed, or other conditions arise that could not reasonably have been determined before work began.
Where applicable, additional work will require customer authorization in accordance with the applicable contract and applicable law.
Wingate will not intentionally misrepresent the estimated cost or necessity of work.
4. CUSTOMER CONTRACTS
The applicable written customer contract controls the specific services Wingate is obligated to provide.
For qualifying Ohio home-construction projects, Wingate will provide the written contract and disclosures required by applicable law.
Nothing on this website is intended to replace any legally required contract, disclosure, notice, or cancellation form.
5. CUSTOMER RESPONSIBILITIES
Customers are responsible for providing accurate information, providing reasonable access to the property, providing access to equipment and areas reasonably necessary for the work, disclosing known hazards and defects, securing pets and children away from work areas, removing or protecting valuable or fragile property, providing access to utilities reasonably required to perform the work, and making payments required under the applicable agreement.
Failure to provide reasonable access or otherwise fulfill customer responsibilities may cause delays or additional costs where permitted by the applicable agreement and law.
6. EXISTING AND CONCEALED CONDITIONS
Repair and construction work may reveal conditions that cannot reasonably be identified before work begins.
These may include deteriorated wood, structural damage, water damage, mold or microbial growth, improper prior installation, code deficiencies, inadequate ventilation, concealed wiring or piping, defective equipment, damaged decking or sheathing, and other conditions.
Wingate is not responsible for pre-existing conditions or concealed defects unless caused or worsened by Wingate’s negligence or other legally actionable conduct.
Additional work resulting from such conditions will be handled in accordance with the applicable contract and applicable law.
7. ROOFING AND EXTERIOR WORK
Roofing, siding, gutters, and other exterior work may require removal of existing materials and exposure of underlying conditions.
Existing materials may be discontinued, exact color or appearance matching may not be possible, weathering may affect appearance, manufacturers may change products, hidden damage may not be discovered until materials are removed, and proper installation may require replacement of additional materials.
Unless expressly guaranteed in writing, Wingate does not guarantee an exact visual match between new and existing materials.
8. HVAC, PLUMBING, AND MECHANICAL SYSTEMS
Repair or replacement of one component does not guarantee the continued operation of unrelated components.
Existing systems may contain obsolete, deteriorated, improperly installed, non-code-compliant, or defective components.
Wingate’s responsibility is limited to the work expressly included in the applicable written agreement.
Replacement of a component does not constitute a guarantee that other components will not subsequently fail.
9. INSURANCE CLAIMS
Wingate may assist customers by documenting property damage and providing photographs, measurements, estimates, invoices, and other project information.
Wingate is not an insurance company, insurance adjuster, public adjuster, attorney, or legal representative of the customer.
Wingate does not determine insurance coverage, policy interpretation, claim eligibility, depreciation, deductibles, or the amount an insurance company will pay.
Insurance coverage decisions are made by the customer’s insurance company.
Wingate does not guarantee that an insurer will approve any claim, supplement, repair, replacement, code-related item, material, or requested amount.
Unless otherwise expressly stated in a written agreement, the customer’s obligation to Wingate is not dependent upon the amount ultimately paid by an insurance company.
Customers should consult their insurance professional, attorney, or licensed public adjuster concerning insurance coverage and policy rights.
10. INSURANCE DEDUCTIBLES
Customers remain responsible for complying with their insurance policy.
Wingate will not knowingly waive, absorb, rebate, or improperly manipulate an insurance deductible when doing so would violate applicable law, an insurance policy, or other contractual requirements.
Any discount or promotional credit will be applied only as permitted by applicable law and the applicable written agreement.
11. CHANGE ORDERS AND ADDITIONAL WORK
Additional work requested by the customer or made reasonably necessary by conditions discovered during the project may result in additional charges.
For qualifying Ohio home-construction contracts, Wingate will comply with applicable legal requirements concerning authorization of additional work and costs.
Wingate will not intentionally charge a customer for an excess cost that the customer has not approved where approval is required by law.
12. PERMITS AND CODE REQUIREMENTS
Where the applicable contract makes Wingate responsible for obtaining required permits, Wingate will perform that responsibility in accordance with applicable requirements.
Customers remain responsible for permits, approvals, access, homeowner-association approvals, landlord approvals, or other obligations expressly assigned to them under the applicable agreement.
Wingate will not knowingly represent that work is required by a building, mechanical, plumbing, electrical, or other code when it is not.
13. PAYMENT
Customers agree to pay amounts due under the applicable written agreement, proposal, invoice, service agreement, or work authorization.
Past-due balances may be subject to lawful collection remedies, interest, late charges, attorney fees, collection costs, court costs, or other charges only to the extent permitted by the applicable agreement and law.
Nothing in these Terms authorizes Wingate to impose a charge prohibited by law.
14. MECHANICS’ LIENS AND OTHER REMEDIES
To the extent permitted by Ohio law, Wingate reserves all rights and remedies available to contractors, including applicable mechanics’ lien rights and other remedies for unpaid amounts.
Nothing in these Terms waives or expands any statutory right.
15. WARRANTIES
Manufacturer warranties and Wingate’s labor, workmanship, or other warranties apply only as expressly provided in the applicable written warranty or contract.
Manufacturer warranties are subject to the manufacturer’s terms, conditions, limitations, and exclusions.
Unless expressly stated otherwise in writing, repair of one component does not create a warranty concerning unrelated components or systems.
Nothing in these Terms eliminates or restricts a warranty or consumer right that cannot legally be excluded.
16. EMERGENCY AND SAME-DAY SERVICE
“Same-day service” means Wingate will make commercially reasonable efforts to provide service on the requested day. It does not guarantee immediate arrival or completion of the repair on that day.
Emergency, after-hours, weekend, holiday, or expedited services may be subject to additional charges or availability limitations as disclosed in the applicable agreement.
For immediate threats involving fire, gas, electrical hazards, flooding, structural collapse, or other life-safety emergencies, customers should contact the appropriate emergency authority or utility provider when appropriate.
17. WEATHER AND DELAYS
Wingate is not responsible for delays caused by circumstances beyond its reasonable control, including severe weather, storms, extreme temperatures, material shortages, manufacturer delays, transportation problems, labor shortages, permit or inspection delays, utility interruptions, governmental actions, natural disasters, or other circumstances beyond Wingate’s reasonable control.
Where appropriate, Wingate may reschedule affected work.
18. SUBCONTRACTORS AND THIRD PARTIES
Wingate may use employees, qualified subcontractors, suppliers, manufacturers, financing companies, delivery companies, and other third parties in connection with its services.
Where required by applicable law or contract, Wingate will provide appropriate disclosures.
19. FINANCING
Financing may be offered through third-party lenders.
Wingate is not the lender unless expressly stated otherwise.
Financing is subject to lender approval and the lender’s terms, including applicable interest rates, promotional periods, fees, payment schedules, qualification requirements, and other conditions.
The financing agreement controls the financing relationship.
Wingate does not guarantee financing approval or financing terms.
20. PROMOTIONS AND COUPONS
Promotions, coupons, discounts, financing offers, and special offers are subject to their stated terms.
Unless otherwise stated, offers may expire, may be limited to qualifying services, may not be combined, may not apply to prior purchases, may have minimum purchase requirements, may exclude certain products or services, and may be geographically limited.
Wingate reserves the right to correct typographical, pricing, or promotional errors.
21. APPOINTMENTS
Online appointment requests are requests and are not confirmed until Wingate confirms the appointment.
Appointments may be rescheduled because of emergencies, technician availability, weather, parts availability, geographic considerations, or other circumstances.
Customers are responsible for providing accurate contact information.
22. TEXT MESSAGES AND ELECTRONIC COMMUNICATIONS
By providing contact information and requesting information, scheduling, estimates, service updates, or other communications, you consent to receiving communications reasonably related to your inquiry, appointment, project, account, or transaction.
Where required by law, marketing text messages will be sent only after appropriate consent.
Message and data rates may apply.
You may opt out of marketing text messages by following the instructions contained in the applicable message.
Opting out of marketing communications does not necessarily stop transactional or service-related communications necessary to administer an existing customer relationship.
23. WEBSITE CONTENT AND INTELLECTUAL PROPERTY
Unless otherwise indicated, the website and its contents are owned by or licensed to Wingate.
This includes logos, trademarks, service marks, photographs, graphics, videos, written content, advertisements, designs, software, layout, and other materials.
You may not reproduce, modify, distribute, sell, publish, or commercially exploit website content without written permission except as permitted by law.
24. THIRD-PARTY WEBSITES
The website may contain links to third-party websites, including manufacturers, financing companies, social-media platforms, review platforms, and government agencies.
Wingate does not control or guarantee the content, security, availability, privacy practices, products, or services of third-party websites.

Wingate does not require customers to provide positive reviews.

28. PRIVACY
Use of personal information submitted through the website is subject to Wingate’s Privacy Policy.
Customers should not submit Social Security numbers, passwords, financial-account information, or other highly sensitive information through ordinary website forms unless specifically requested through an appropriate secure process.

Nothing in these Terms limits liability that cannot legally be limited, including liability arising from fraud, willful misconduct, or other non-waivable liability.
31. INDEMNIFICATION
To the maximum extent permitted by law, users agree to indemnify and hold harmless Wingate Mechanical Inc., its officers, directors, employees, agents, and authorized representatives from claims, losses, damages, liabilities, and reasonable expenses arising from the user’s unlawful use of the website, violation of these Terms, or submission of material that infringes another person’s rights.
This provision does not require indemnification to the extent prohibited by law.
32. OHIO RESIDENTIAL CONSTRUCTION CLAIMS
Ohio law contains procedures concerning certain claims involving alleged residential construction defects.
Where Ohio Revised Code Chapter 1312 applies, Wingate reserves all rights provided to residential contractors under that chapter, including the opportunity to inspect alleged defects and offer to resolve them before a covered action proceeds.
Nothing in these Terms is intended to waive any statutory notice, inspection, cure, or other right or requirement.
33. HOME SOLICITATION SALES
Certain transactions entered into at a consumer’s residence may be subject to Ohio’s Home Solicitation Sales Act.
Where applicable, Ohio law may provide a consumer with a statutory cancellation period and require specific written notices and cancellation documentation.
Nothing on this website is intended to waive or limit a customer’s statutory cancellation rights.
Any legally required cancellation notice will be provided in the applicable customer contract.
34. GOVERNING LAW
These Terms are governed by the laws of the State of Ohio, except to the extent federal law or another mandatory law applies.
Nothing in these Terms is intended to waive a right that cannot legally be waived.
35. SEVERABILITY
If any provision of these Terms is determined to be invalid or unenforceable, the provision will be modified or limited to the minimum extent necessary to make it enforceable where permitted by law.
The remaining provisions will remain in effect.
36. NO WAIVER
Failure by Wingate to enforce any provision of these Terms does not constitute a waiver of that provision or Wingate’s right to enforce it later.
37. ELECTRONIC RECORDS
Where permitted by law, electronic communications, electronic signatures, electronic approvals, estimates, contracts, invoices, photographs, and other electronic records may constitute legally effective records.
38. CHANGES TO THESE TERMS
Wingate may update these Terms from time to time.
The current version will be posted on this website with the applicable effective date.
Updates to these website Terms do not modify an already executed customer contract unless the customer separately agrees to such modification where required.

40. IMPORTANT NOTICE
